Terms of Service.

These terms apply to consulting services provided by Vancity Networks, based in Vancouver, British Columbia, Canada. Each engagement is also described in a written proposal or statement of work; if the two conflict, the proposal or statement of work applies.

Services

We provide software development, business development and search engine optimization consulting. The scope, deliverables, timeline and fees for each engagement are agreed in writing before work begins.

Fees and payment

• Fees are quoted in Canadian dollars unless stated otherwise, plus applicable taxes.
• Invoices are due on the terms shown on the invoice and can be paid online by card through Stripe.
• Projects may require a deposit before work starts, with the balance billed by milestone.

Cancellations and refunds

Either party may end an engagement with written notice. You’ll be billed for work completed up to the end date. Deposits for work not yet started are refundable. Ongoing monthly engagements can be cancelled with 30 days’ written notice. To request a refund, email hello@vancitynetworks.com; approved refunds are returned to the original payment method.

Ownership

Once paid in full, you own the deliverables created specifically for you. We keep ownership of pre-existing tools, know-how and general-purpose code, and grant you a licence to use anything of ours included in your deliverables.

Confidentiality

We keep your non-public business information confidential and use it only to deliver the services.

Limitation of liability

Our total liability for any engagement is limited to the fees paid for that engagement. We aren’t liable for indirect or consequential losses. SEO and business development outcomes depend on factors outside our control, so specific rankings or revenue are not guaranteed.

Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there.
